These Redemption Terms ("Redemption Terms") govern the relationship between Giftedd Solutions Inc. ("Gifted", "we," "us", or "our") and any Recipient ("Recipient" or "you") who claims, selects, converts, redeems, or otherwise uses a Gift, Gift Link, platform credit, Promotional Credit, Recognition Point, or other redemption right through the Platform.
The Redemption Terms supplement the General Terms and any part of the Agreement. Any term not defined in these Redemption Terms shall have the meaning assigned to it in the General Terms, unless the context clearly indicates otherwise.
Where these Redemption Terms differ or conflict with the General Terms, these Redemption Terms shall govern and take precedence concerning the Recipients' specific use of the Platform and Services to claim, select, convert, redeem, or otherwise use Gifts or other redemption rights.
By using the Platform as a Recipient, you acknowledge that you have read, understood, and agree to be bound by these Redemption Terms, as well as the other components of the Agreement.
Gifted reserves the right to change these Redemption Terms at any time as further detailed in the General Terms.
PLEASE NOTE THAT THE GENERAL TERMS CONTAIN AN ARBITRATION CLAUSE AND A CLASS ACTION WAIVER. BY AGREEING TO THE GENERAL TERMS AS WELL AS THESE RECEPIENTS TERMS, YOU AGREE TO RESOLVE ALL DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION, WHICH MEANS THAT YOU WAIVE ANY RIGHT TO HAVE THOSE DISPUTES DECIDED BY A JUDGE OR JURY, AND THAT YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.
1. GIFT REDEMPTION OR CONVERSION
1.1. A Recipient may use the Platform to claim, select, convert, redeem, or otherwise use Gifts and other redemption rights made available to the Recipient by or on behalf of a Buyer, subject to the Agreement, the applicable Buyer program rules, the available redemption options, and any instructions presented through the Platform.
1.2. Depending on the applicable Gift, Buyer program, Merchant availability, geographic location, and Platform functionality, a Recipient may be able to redeem a Gift through the Platform, select a Gift offered by a participating Merchant, or convert the Gift or redemption right to a supported third-party platform or service.
1.3. If the Recipient chooses to convert a Gift or redemption right to a supported third-party platform or service, Gifted’s role is limited to facilitating the conversion or transfer. Following completion of the conversion or transfer, the converted entitlement will be subject to the terms, policies, availability, restrictions, and redemption process of the applicable third-party platform or service.
1.4. The Recipient is responsible for reviewing any Merchant or third-party terms, restrictions, expiration rules, delivery terms, return and refund policies, and other conditions applicable to the selected Gift before completing the redemption or conversion.
1.5. Gifted does not review, endorse, or take responsibility for third-party terms, nor for the further redemption of any converted Gift, or any other aspects of their interaction with the Recipient. All future interactions, including redemption or usage of the Gift, disputes, and customer service, are solely between the Recipient and the third-party platform.
2. REDEMPTION THROUGH THE PLATFORM
2.1. If the Recipient chooses to redeem their Gift through the Platform, they will first need to create an account on our Platform per the Registration provision in the General Terms (“Recipient Account”).
2.2. Gifts are redeemable in accordance with the applicable Buyer program rules, the terms of the relevant Gift offer, the Merchant’s policies, and any additional terms presented during the redemption process. To complete a redemption, the Recipient may be required to provide information required for fulfilment, delivery, identity verification, customer support, or legal compliance, including, where relevant, delivery details or contact information.
2.3. Where the Recipient has available Promotional Credits, such Promotional Credits will be applied automatically first to the relevant redemption transaction, to the extent the selected Gift is eligible for their use, before any other platform credits, redemption rights, or supplemental payment. Any remaining transaction amount may be satisfied using other available redemption rights or a supplemental payment, if enabled and subject to Section 4.
2.4. All communication and interactions between the Recipient and the Merchant shall be conducted through the Platform, unless explicitly stated otherwise.
2.5. The Recipient acknowledges and agrees that the Merchant is solely responsible for any Gift sent, including their description, availability, quality, fulfilment, delivery, warranties, and applicable return and refund policies. Gifted may provide support or facilitate communications in connection with a redemption, but does not assume responsibility for the Merchant’s or third-party supplier’s products or services, except to the extent expressly stated in the Agreement or required by applicable law.
2.6. If a Recipient experiences an issue with a redeemed Gift, the Recipient should follow the support instructions presented through the Platform or contact Gifted at support@gifted.co. Gifted may, at its discretion, assist in communicating with the applicable Merchant or third-party supplier or facilitate a replacement, credit, reversal, or other customer-support remedy where appropriate under the Agreement, the applicable Gift terms, and applicable law.
2.7. By involving Gifted in a dispute resolution, the Recipient acknowledges and agrees that any decisions or actions taken by Gifted in an effort to assist in resolving the dispute are final and binding. The Recipient hereby releases and holds harmless Gifted from any and all liability, claims, actions, loss, harm, damage, injury, cost, or expense arising out of any decision taken by Gifted in this context.
3. EXPIRATION AND SUSPENSION OF GIFTS AND LINKS
3.1. Gifts and Gift Links, platform credits, Promotional Credits, Recognition Points, and other redemption rights may be subject to expiration periods, eligibility rules, Buyer program settings, geographic limitations, Merchant or third-party availability, and other restrictions presented through the Platform or applicable to the relevant Buyer program.
3.2. As part of that, the Links may be valid for a predefined period (e.g., 24 months) from the date of issuance. If a Recipient fails to use the Link and selecting a Gift within this defined period, the Link will automatically expire, and the Recipient will no longer be able to use it to redeem a Gift. Any rights of the Buyer with respect to expired, unused, cancelled, or unredeemed Gift Links or other redemption rights will be governed by the applicable Buyer Terms, order form, program terms, and applicable law.
3.3. Gifted reserves the right to suspend or terminate any Link, at its sole discretion, in the event of any suspected misuse or fraud. In such instances, Gifted will make an effort to inform the Recipient of such suspension or termination. In the event of termination or suspension of a Link due to suspected misuse or fraud, no refunds will be provided, and the Recipient will no longer be able to use the Link to redeem any Gift.
4. SUPPLEMENTAL PAYMENTS
4.1. Where enabled by Gifted, a Recipient may make a one-time supplemental payment to cover the difference between the redemption value available to that Recipient and the price of a selected Gift.
4.2. A supplemental payment may be used only to complete the relevant redemption transaction. It does not increase, reload, or top up any Account, credit amount, award budget, or other entitlement made available through the Platform.
4.3. Supplemental payments are processed through the applicable third-party payment processor and are subject to successful authorization, the applicable Merchant terms, these Redemption Terms, and any additional payment terms presented during the redemption process. A redemption requiring a supplemental payment will not be completed unless the payment is successfully authorized.
4.4. Any cancellation, refund, reversal, or chargeback relating to a supplemental payment will be handled in accordance with these Redemption Terms and the terms disclosed for the relevant transaction. Gifted may correspondingly cancel or adjust the associated redemption and reinstate, reverse, or otherwise adjust the applicable credits or redemption rights.
4.5. Where permitted by applicable law and applicable payment-network rules, Gifted may charge a payment processing fee in connection with a supplemental payment. Any such fee will be disclosed to the Recipient before the supplemental payment is authorized and will not exceed the amount permitted under applicable law and payment-network rules. Gifted will not charge a payment processing fee where prohibited by applicable law or where the applicable payment method does not permit such fee.
5. GIFT TRANSFER AND RESALE PROHIBITIONS
5.1. The Recipient acknowledges and agrees that Gifts are personal and strictly non-transferable. Reselling of Gifts, whether in a personal or professional capacity, is expressly prohibited. The Recipient is prohibited from transferring, selling, or otherwise disposing of the Gift in any manner not expressly permitted by Gifted.
5.2. Any attempt to violate these restrictions, including any resale of Gifts, may result in the immediate cancellation of the Gift without any refund or compensation, except where required by applicable law.
5.3. Gifted reserves the right to take further action as necessary, including legal action, to address any violations of this prohibition.
